These Terms and Conditions ("Terms") govern your access to and use of the Longshot platform, including our mobile application, website at longshot.finance, and all related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.
IMPORTANT: Please read these Terms carefully. They contain important information about your legal rights, remedies, and obligations. By using Longshot, you agree to these Terms and our Privacy Policy.
By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform with a new "Last Updated" date. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms.

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, suspected fraudulent activity, failure to complete identity verification, or regulatory requirements.
Longshot provides a mobile-first platform for trading tokenized real-world assets ("RWAs"), including but not limited to:
Longshot operates as a non-custodial platform. You maintain control of your private keys and digital assets. We do not hold, control, or have access to your assets. Loss of your private keys may result in permanent loss of your assets. We cannot recover lost or stolen assets.
The Platform may integrate with third-party services, including blockchain networks (such as Solana), asset issuers, liquidity providers, and wallet providers. Your use of such third-party services is subject to their respective terms and conditions.
The Platform includes an AI-powered copilot feature that provides information and analysis. This feature is for informational purposes only and does not constitute financial advice. You acknowledge that AI-generated content may contain errors or inaccuracies.
IMPORTANT REGULATORY NOTICE: Longshot is not a registered broker-dealer, investment adviser, exchange, or custodian. We do not offer securities, investment contracts, or regulated financial products. Tokenized assets available on the Platform may be subject to securities laws or other regulations in certain jurisdictions. You are solely responsible for determining whether your use of the Platform complies with applicable laws in your jurisdiction. The availability of any tokenized asset on our Platform does not constitute a determination that such asset is legal or appropriate for you to trade.
Tokenized assets available on the Platform are issued by third-party token issuers, not by Longshot. We do not control, endorse, or guarantee the actions, solvency, or performance of any token issuer. You acknowledge and agree that:

Such actions may be taken due to regulatory changes, legal requirements, business decisions, or other factors. We shall not be liable to you for any losses arising from such modifications or discontinuations.
When you place an order on the Platform:
You agree to pay all applicable fees associated with your use of the Platform, including trading fees, spread markups, network/gas fees, and any other fees disclosed on the Platform. Fee schedules are available on the Platform and may be updated from time to time.
Transactions are settled on-chain according to the rules of the applicable blockchain network. Settlement times and finality are determined by the underlying blockchain infrastructure.
You are solely responsible for determining and fulfilling your tax obligations arising from your use of the Platform. We do not provide tax advice and recommend consulting with a qualified tax professional.
TRADING TOKENIZED ASSETS INVOLVES SIGNIFICANT RISK. YOU SHOULD ONLY TRADE WITH FUNDS YOU CAN AFFORD TO LOSE.
The value of tokenized assets can be highly volatile. Prices may fluctuate significantly in short periods. Past performance is not indicative of future results.
The regulatory landscape for tokenized assets and digital securities is evolving and uncertain. You acknowledge that:
Non-Custodial Limitation: As a non-custodial platform, we do not have control over assets held in your self-custody wallet. However, if we restrict your access to the Platform, you will be unable to trade through our interface. Your assets remain in your wallet, but you may need to use alternative means to manage or liquidate them.
We reserve the right to take any action we deem necessary to comply with applicable laws and regulations, including restricting your access to the Platform, delisting assets, disabling features, or reporting activity to authorities, without prior notice and without liability to you.
Blockchain technology and smart contracts are subject to risks including software bugs or vulnerabilities, network congestion or failures, cybersecurity attacks or hacks, and protocol changes or forks.
Tokenized assets may have limited liquidity. You may not be able to buy or sell assets at desired prices or in desired quantities.
While Longshot operates on a non-custodial basis, you are exposed to significant risks from third parties, including:
You acknowledge that Longshot has no control over and accepts no liability for the actions, omissions, or failures of any third-party token issuer, liquidity provider, DeFi protocol, or other service provider.
If you lose access to your wallet, private keys, or recovery phrase, you may permanently lose access to your assets. We cannot recover lost credentials or assets.
You agree not to:
The Platform, including all content, features, functionality, software, text, graphics, logos, and trademarks, is owned by Longshot and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
NOTHING ON THE PLATFORM CONSTITUTES FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE. All information provided is for informational purposes only. You should consult with qualified professionals before making any financial decisions.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR COMPLETENESS OF INFORMATION, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
You agree to indemnify, defend, and hold harmless Longshot and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Platform, your violation of these Terms, your violation of any applicable laws or regulations, or your violation of any third-party rights.
Before initiating any formal dispute resolution, you agree to contact us at support@longshot.finance to attempt to resolve any dispute informally. You must provide a written description of the dispute, relevant documents, and your proposed resolution. We will attempt to resolve the dispute within 30 days.
Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the Singapore International Arbitration Centre (SIAC). The arbitration shall be conducted in English in Singapore. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS-WIDE ARBITRATION, OR ANY CONSOLIDATED OR REPRESENTATIVE PROCEEDINGS. The arbitrator may not consolidate claims or preside over any form of class or representative proceeding.
Notwithstanding the above, either party may:
Any claim or cause of action arising from or relating to these Terms or the Platform must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.

In all cases, you agree that Singapore law shall govern these Terms to the maximum extent permitted by your local law.
These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.
You acknowledge and agree that we may, without prior notice to you:
Non-Custodial Limitation: As a non-custodial platform, we cannot freeze, seize, or control assets held in your self-custody wallet. However, we can and will restrict your access to our Platform and Services if required by law or regulation.
We shall not be liable to you for any actions taken in good faith to comply with legal or regulatory requirements, even if such actions result in loss or damage to you.
